Annual General Meeting of Kontron AG approves all agenda items and elects high-calibre Supervisory Board

• All proposals put to the vote were approved with a clear majority
• Top-class industry experts appointed to the Supervisory Board

Eching bei München, June 11, 2013 – More than 250 shareholders took part in the Annual General Meeting (AGM) of Kontron AG, globally leading provider of Embedded Computer Technology (ECT). The meeting, at which just under 49 percent of the company's share capital were represented, was held at the Luitpoldhalle in Freising. CEO Rolf Schwirz explained Kontron’s 2012 performance (January 1, 2012 to December 31, 2012) as well as its new strategy.

Approval from the company's shareholders was requested for six of the seven items on the AGM's agenda. However, the main topic was the appointment of five new members to the Supervisory Board.
In respect of the appointment of the new members as well as the re-election of one member to the Supervisory Board, a large majority of shareholders approved the proposed candidates. As a result, Peter Bauer (52), Martin Bertinchamp (54), Rainer Erlat (58), Sten Daugaard (55), Dr. Harald Schrimpf (49) and Lars Singbartl (43) were appointed members of the Supervisory Board.

Peter Bauer was member of Infineon Technologie AG’s Management Board since the company’s IPO in 1999. In 2008, he took over as CEO of the company. Since September 2012, he works as an independent management advisor. Peter Bauer will also be a member of the Supervisory Board of Osram Licht AG once it becomes a listed company.

Martin Bertinchamp has been Senior Advisor at Triton since early 2012 and is managing director of COMPO GmbH & Co. KG Münster and Luxemburg. Prior to that, he was Chairman of the Management Board of Metabo AG and GARDENA AG. In addition, Martin Bertinchamp is member of the Supervisory Board of Rothenberger Werkzeuge AG and Huber Packaging GmbH.

Rainer Erlat worked at Hewlett Packard in various roles, ultimately becoming Vice President and General Manager of Sales for EMEA Enterprise Systems Group. In 2003, he joined EMC, where he advanced to member of the Board of EMC International. Since 2012, Rainer Erlat is an independent management advisor.

Sten Daugaard, originally from Denmark, held various management positions in his home country and the US during his career. He also served as Chief Financial Officer of SGL Carbon AG in Germany. Since the beginning of 2012, Sten Daugaard is Chief Development Officer, Member of the Executive Board and Executive Vice President of Pandora A/S in Denmark.

Dr. Harald Schrimpf has been a Member of the Management Board of PSI AG since 2002. He will take over as CEO of the company in July 2013.
Lars Singbartl is Partner at Warburg Pincus LLC, New York, USA and heads the German office based in Frankfurt.

During the inaugural meeting of the Supervisory Board, which was held on June 05, Rainer Erlat was elected the new Chairman of Kontron AG’s Supervisory Board.

Helmut Krings, Hugh Nevin, David Malmberg and Mathias Hlubek did not stand for re-election left the Supervisory Board at the end of the AGM.
